1. Eligibility

Our services are available to businesses and authorized representatives who are at least 18 years of age. By using our services, you represent that you have the legal authority to enter into this agreement on behalf of your business.

Our services are designed for medical spas, beauty clinics, salons, and similar businesses in the aesthetics and wellness industry.

2. Description of Services

Dendai provides AI-powered communication agents that help clinics and beauty businesses manage client inquiries, follow-ups, and appointment scheduling. Our AI agents respond to leads, engage in conversations, and guide potential clients toward booking — integrating with your existing booking system and communication channels.

We provide a done-for-you service, which includes setup, configuration, and ongoing management of AI agents tailored to your business.

3. User Responsibilities

By using our services, you agree to:

Provide accurate and complete information during onboarding and throughout the use of our services.

Use our services only for lawful purposes and in compliance with all applicable laws and regulations.

Not use our services to send spam, misleading messages, or any communication that violates applicable marketing and consumer protection laws.

Not attempt to reverse-engineer, copy, modify, or resell our AI systems, prompts, or proprietary technology.

Ensure that your use of AI-generated communications complies with any industry-specific regulations that apply to your business.

Notify us promptly of any unauthorized access to your account or any security concerns.

4. Payment Terms

Our services are provided on a monthly subscription basis. Specific pricing will be communicated to you during onboarding or as outlined in a separate service agreement.

Payments are due at the beginning of each billing cycle. Failure to make timely payments may result in suspension or termination of your service.

All fees are non-refundable unless otherwise stated in a separate written agreement.

We reserve the right to adjust pricing with 30 days’ written notice.

5. Intellectual Property

Dendai retains all rights, title, and interest in our AI systems, proprietary technology, prompts, workflows, and any underlying software or methodology used to deliver our services.

You retain ownership of all content and data you provide to us, including client information and business data.

AI-generated messages and communications created by our service on your behalf are owned by you. You are free to use, modify, or distribute them as you see fit.

You may not claim ownership of or resell the underlying AI technology, systems, or processes used to generate those communications.

6. AI Output Disclaimer

While we strive to ensure that our AI agents provide accurate, helpful, and professional communications, AI-generated content may occasionally contain errors or inaccuracies. Dendai is not liable for any decisions made or actions taken based on AI-generated messages.

You acknowledge that AI-generated communications are tools to assist your business and do not constitute professional, medical, legal, or financial advice.

You are responsible for reviewing and monitoring AI-generated communications to ensure they meet your standards and comply with applicable regulations.

7. Data Handling

Our handling of personal data is governed by our Privacy Policy, available at dendai.io. By using our services, you agree to the data practices described therein.

We do not use your data or your clients’ data to train or improve AI models. Data is used solely to deliver the services you have contracted.

8. Service Availability and Modifications

We strive to maintain uninterrupted service, but we do not guarantee that our services will be available at all times. We may experience downtime due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, update, or discontinue any aspect of our services at any time. We will provide reasonable notice of any material changes that affect your use of the service.

9. Suspension and Termination

You may cancel your subscription at any time by providing written notice to [email protected]. Cancellation takes effect at the end of the current billing cycle.

We reserve the right to suspend or terminate your access to our services immediately if you violate these Terms, engage in unlawful activity, or use the service in a manner that could harm our reputation, our systems, or other users.

Upon termination, your data will be retained and handled in accordance with our Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by law, Dendai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to lost revenue, lost clients, missed appointments, or errors in AI-generated communications.

Our total liability for any claim arising from or related to these Terms or our services shall not exceed the total amount you have paid to Dendai in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Dendai, its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your use of our services, your violation of these Terms, or your violation of any applicable law or regulation.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Sweden. Any disputes arising from or related to these Terms or our services shall be resolved through the courts of Helsingborg, Sweden.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website with a revised effective date. Your continued use of our services after such changes constitutes your acceptance of the updated Terms.
